SpaceX and Tesla Form Committees to Examine a Potential Combination

SpaceX and Tesla have established separate board committees to examine a potential combination. SpaceX disclosed the review in its third-quarter filing, following its October 20, 2026, earnings discussion. The filing says no decision has been made and no agreement has been reached.

The committees’ formation creates a process for evaluating a transaction; it does not establish its structure or price. SpaceX says any transaction would require approval by its special committee, its board, and its controlling shareholder. Those are distinct approvals rather than a single management decision.

Reuters reported that Elon Musk described the committees as independent and said he would not participate in their discussions because of conflicts of interest. That distinction matters because the proposal involves businesses associated with the same executive. The committees would assess whether a transaction is acceptable for their respective companies, rather than treating shared leadership as sufficient justification.

The relationship between the companies also needs to be distinguished from their legal ownership. New Space Economy’s account of the relationships among Musk’s companies explains the connections among his businesses without treating every organization as part of one holding company. Cooperation between companies, common leadership, and a corporate combination are different arrangements.

SpaceX’s financial reporting identifies three operating segments: Space, Connectivity, and Super Intelligence. For the quarter ended September 30, 2026, the company reported $14.575 billion in revenue. Connectivity contributed $5.248 billion, Space contributed $1.767 billion, and Super Intelligence contributed $7.560 billion.

Those figures describe the reporting company whose board is considering the transaction. They are not a proposed valuation or a measure of what Tesla shareholders would receive. No exchange ratio or purchase price has been agreed in the disclosed review.

The companies already conduct business with each other. SpaceX’s filing records $151 million in purchases of Tesla Megapack products during the quarter ended September 30, 2026. Those purchases are existing commercial transactions, separate from the combination now under review.
